Femallay's Wholesale Program

As a Distributor, I am at least 18 years of age. In the state in which I enter this agreement, I will be an Independent Business Owner, responsible for my own business and not an employee or representative for Femallay Inc. I am responsible for obtaining any necessary licenses.

Distributors may never represent themselves as owners or employees of Femallay Inc. or use the trademarked Femallay name, logo, or butterfly symbol in their domain name, web design, social account profile, or any marketing or sales platforms.

Distributors may purchase products from Femallay Inc. at wholesale pricing with a minimum order quantity (MOQ), which varies depending on the product SKU.  In an attempt to make our wholesale pricing reasonable and flexible, we also allow you to mix and match many products to more easily hit the minimum order requirements to get discounts of up to 40% off retail pricing. 

Orders can be easily and securely placed through our website at any time, after you have created an account. If Femallay is short any items for your order, we will contact you immediately to see if you’d like to substitute or cancel that portion of your order. Order fulfillment time will be provided at the time your order is placed.  

Femallay Inc. requires that you maintain MAP or above (our standardized retail pricing), if you resell our products online.  MAP is available on the Femallay website (www.femallay.com). We reserve the right not to fill future orders if pricing is not maintained. Online Retailers are allowed to have one (1) promotion/sale per quarter that does not fall more than 10% below our MAP pricing. This quarterly sale may not last more than seven (7) consecutive days.

However, if you will be reselling our products at a physical shop or store, MAP is not required, and you are free to resell the products per your own determined pricing structure.   

Distributors may not sell Femallay products on Amazon.com, Etsy.com, Walmart.com, or any other platform where Femallay is already an established retailer. Selling products through other online marketplaces must be pre-approved by Femallay Inc. You must provide your current, accurate business name (the name you are selling under) and abide by all pricing rules stated above.

All wholesale orders shipped to a retailer will be charged shipping costs. The shipping costs will be added to your order total before charging your credit card. All orders are shipped via your chosen shipping carrier and speed as chosen at checkout.

International orders will ship per the method of your choice, and shipping insurance is optional. Femallay Inc. will not be liable for any shipments if insurance is not chosen.

We accept MasterCard, Visa, Discover, American Express, PayPal, and Electronic Wire Transfer. Payments must clear before shipment.  If you wish to make a payment via ACH or Wire Transfer, you will need to let us know, and we will send you an invoice and payment details.  

All returns from customers will be handled directly through the retailer. All sales are final on wholesale orders.  However, if there is a problem with our products, or your order arrives damaged, please carefully document the issue (with photos) and contact us through your account portal or at wholesale@femallay.com, and we will work with you to replace damaged items or issue you a partial refund equal to your cost for all units damaged.  Shipping will not be refunded. 

If either a retailer or customer receives a defective product, please mail the item directly to us along with a copy of the original receipt, and we, Femallay Inc., will mail a replacement ASAP. Our mailing address is at the bottom of this form-please keep this for your records.

Femallay Inc. carries product liability insurance.

All products from Femallay Inc. that are purchased by me, the Distributor, are subject to the guarantees and disclaimers applicable to the products at the time of purchase.

Distributor understands that the products from Femallay Inc. are not represented as having any medicinal value and the Distributor is not authorized to make any diagnosis of any medical condition, make drug-type claims for or prescribe products of Femallay Inc. to cure any disease or condition of man or animal.

Distributor agrees to indemnify and hold harmless Femallay Inc. (and its officers, executives, employees and agents) against any claims, liability, obligations, expenses (including attorney’s fees) or damages arising out of any representation made by a Distributor in connection with any products of Femallay Inc.

Femallay Inc. may suspend a Distributor’s privileges at any time if the Distributor breaches this agreement or engages in any conduct that may bring disrepute upon Femallay Inc. or which is in violation of any law or government regulation, or ordinance. Each Distributor is to abide by the then current procedures or policies.
